1. Acceptance of Terms

By accessing and using BioPartner, you accept and agree to be bound by the terms and provision of this agreement.

2. Platform Description

BioPartner is an affiliate marketplace platform that connects sellers, content creators, and customers for medical and health-related products.

3. Seller Terms

3.1 Product Listings

Sellers are responsible for accurate product information, pricing, and compliance with all applicable laws and regulations.

3.2 Commission Structure

Sellers agree to pay commissions to creators and BioPartner as configured. Default commissions are 7% to creators and 7% to BioPartner, but may be customized per agreement.

3.3 Refunds

When an order is refunded, commissions paid to creators and BioPartner will be reversed proportionally, similar to Amazon Associates policies.

4. Creator Terms

4.1 Affiliate Links

Creators may generate unique affiliate links to promote products. All sales generated through these links will be tracked and commissions calculated accordingly.

4.2 Commission Payments

Commissions are subject to a holding period (default 45 days) before becoming available for payout. Minimum payout amounts apply.

4.3 Attribution

The platform uses a last-click attribution model. Commissions are assigned to the last creator whose link was clicked within the attribution window (default 30 days).

5. Payment and Payouts

Payments are processed through supported payment providers (Stripe, PayPal). Payouts are subject to minimum amounts and processing fees. BioPartner reserves the right to hold funds for fraud prevention and dispute resolution.

6. Prohibited Activities

Users may not:

• Engage in fraudulent or deceptive practices
• Manipulate tracking or attribution systems
• Violate intellectual property rights
• Spam or abuse the platform
• Violate any applicable laws or regulations

7. Account Termination

BioPartner reserves the right to suspend or terminate accounts that violate these terms. Upon termination, pending commissions may be forfeited.

8. Limitation of Liability

BioPartner is provided "as is" without warranties. We are not liable for any indirect, incidental, or consequential damages arising from use of the platform.

9. Changes to Terms

BioPartner reserves the right to modify these terms at any time. Continued use of the platform constitutes acceptance of modified terms.
